1. Acceptance of Terms

By accessing and using the designgrid website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. These Terms of Service apply to all visitors, users, and others who access or use the service.

designgrid reserves the right to modify these terms at any time without prior notice. Your continued use of our services following any changes indicates your acceptance of the new terms. We recommend reviewing these terms periodically to stay informed of any updates.

2. Description of Service

designgrid provides web design, development, and digital marketing services to clients worldwide. Our services include but are not limited to: website design and development, brand identity creation, e-commerce solutions, search engine optimization, content management systems, and ongoing website maintenance and support.

We strive to deliver high-quality, professional services that meet our clients' specific needs and objectives. All services are provided according to the scope of work outlined in individual project agreements and proposals.

3. User Responsibilities

As a user of our services, you agree to:

  • Provide accurate, current, and complete information when required
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept all risks of unauthorized access to your account
  • Notify us immediately of any unauthorized use of your account
  • Use our services only for lawful purposes and in accordance with these Terms

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or harmful behavior.

4. Intellectual Property Rights

The service and its original content, features, and functionality are and will remain the exclusive property of designgrid and its licensors. The service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Upon full payment of project fees, clients receive full ownership rights to custom-developed websites and designs created specifically for their project. However, designgrid retains the right to:

  • Display completed work in our portfolio and marketing materials
  • Use general knowledge and experience gained from working on your project
  • Retain rights to any pre-existing design elements, frameworks, or methodologies

5. Payment Terms

Payment terms are specified in individual project proposals and contracts. Unless otherwise agreed in writing, projects require a 50% deposit to commence work, with the remaining balance due upon project completion and before website launch or delivery of final files.

Late payments may incur additional charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts and may charge reasonable collection fees and costs.

All prices are quoted in US Dollars (USD) unless otherwise specified. International clients are responsible for any applicable taxes, duties, or currency conversion fees.

6. Project Timelines and Deliverables

Project timelines are estimates based on the scope of work agreed upon at project initiation. Timelines may be affected by client response times, additional requests, or unforeseen technical challenges. We will communicate any timeline changes as soon as they become apparent.

Client approval is required at key project milestones, including design concepts, draft implementations, and final delivery. Failure to respond to feedback requests within 7 business days may result in timeline extensions and potential project delays.

We are committed to delivering projects on time and within budget. However, scope changes requested by the client may result in additional time and costs, which will be communicated and agreed upon before implementation.

7. Content and Materials

Clients are responsible for providing all necessary content, materials, and information required for their project. This includes but is not limited to: text content, images, logos, videos, product information, and any other materials that need to be incorporated into the website or design.

You warrant that all materials you provide do not infringe on any third-party rights, including copyrights, trademarks, or other intellectual property rights. You agree to indemnify and hold us harmless from any claims arising from your violation of third-party rights.

We reserve the right to refuse to work with content that we deem inappropriate, offensive, or illegal. If content issues arise, we will work with you to find suitable alternatives.

8. Confidentiality

We understand the importance of confidentiality and commit to protecting your proprietary information. All client information, project details, and business strategies shared during the course of our business relationship will be kept strictly confidential.

We will not disclose any confidential information to third parties without your explicit written consent, except as required by law or to protect our legal rights. Our team members and contractors are bound by confidentiality agreements to ensure the protection of your information.

Confidentiality obligations survive the termination of our business relationship and continue for an indefinite period unless otherwise agreed in writing.

9. Warranty and Disclaimer

We strive to deliver high-quality work that meets industry standards and your project requirements. However, we provide our services on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

While we make every effort to ensure the functionality and compatibility of our work, we cannot guarantee that our services will be uninterrupted, error-free, or completely secure. We do not warrant that any errors will be corrected or that our services will meet your specific requirements.

The use of our services is at your own risk. You understand and agree that designgrid shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services.

10. Limitation of Liability

In no event shall designgrid, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

Our total liability for any claims arising out of these Terms or the services provided shall not exceed the amount paid by you for the specific project giving rise to the claim. This limitation applies regardless of the theory of liability and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Termination

Either party may terminate the business relationship at any time with written notice. Upon termination, you will be responsible for paying for all services rendered up to the termination date. If you terminate a project after work has commenced, you will be billed for work completed to date plus any non-recoverable costs.

Upon termination, we will provide you with all completed work and deliverables. We will also transfer any domain registrations, hosting accounts, and other project-related assets as specified in the project agreement.

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in courts located in Metro Manila, Philippines, and you hereby consent to personal jurisdiction and venue therein.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the service.
